SpaceNet is taking its next big step with a new legal structure

The long-established Munich-based provider is planning its next major move: the company is establishing a holding structure in order to focus more closely on SpaceNet’s individual business divisions and to position them as independent entities.

Firstly, as part of a transformation whilst retaining its identity, SpaceNet AG changed its legal form to a limited liability company (GmbH). All existing contractual obligations towards customers, service providers and employees remain unchanged following this transformation.

SpaceNet founder and CEO Sebastian v. Bomhard explains: “SpaceNet AG was increasingly becoming a highly atypical public limited company with a single major shareholder, without reaping the benefits of this corporate structure. An overall leaner GmbH structure with a central holding company gives us significantly greater flexibility and agility in the further development and positioning of our various business divisions in the market, and is considerably more cost-effective to operate. The Annual General Meeting of SpaceNet AG has already approved this conversion; all shares have been converted into GmbH shares.”

In addition to the holding company, which will in future consolidate all central services such as financial management and accounting, internal and external communications, and the entire HR function, SpaceNet plans, as a next step, to establish two further companies in the form of GmbHs. The hosting, networking, cloud and security divisions will be consolidated within these. The strategic focus is on cloud-based services, through which the company will specifically address the growing demand for secure solutions that ensure data sovereignty.

The second company, named Adarius Spacenet Labs GmbH, will focus on collaboration and AI. The collaboration segment includes Nextcloud and the Zimbra-based email solution. In the rapidly growing AI sector, the greatest demand is currently seen in the areas of project consultancy and support, as well as the bespoke development of software solutions.

Sebastian von Bomhard emphasises: “The conversion of SpaceNet, whilst retaining its legal form, ensures that there will be no changes whatsoever for our customers and partners. All contracts will continue as before within the new organisational structure.”

The conversion of SpaceNet AG into SpaceNet GmbH takes effect immediately upon entry in the Commercial Register. The implementation of the holding structure is planned for 2027. SpaceNet will provide further information on the new management structure, led by Sebastian von Bomhard, as the conversion progresses.
